1992年,南京商茂房地产开发有限公司沐浴着改革开放的春风正式成立,1993年董事长肖梅女士随南京市招商团南下香港招商,随后南京商茂世纪广场开始规划立项.并且董事长肖梅率先提出了”先建地铁,再建商茂世纪广场项目”的口号。

1993--1997年我公司先后开发了三条巷、五老村、科巷等住宅项目,为商茂世纪广场的建设积累了充足的原始资金。1997年底,公司把所有的资金投入到商茂世纪广场的建设当中。2001年6月商茂世纪广场隆重封顶,它采用专利技术会呼吸的玻璃幕墙;采用办公间网络架空地板;在南京商务楼中引进速度达4—6米/秒的瑞士全进口智能化电梯;净高超过2.7米以上的办公空间;在顶层设双层双向旋转观光餐厅。2002年,公司响应南京市灯光亮化号召,自筹资金300万带头进行亮化,成为南京市亮化工程的典范。

在公司发展的同时,为了推进国有企业的改革改制步伐,治理公司结构,加速推进市场化、专业化进程。2001年经南京市政府及商业局批准,南京商茂房地产开发公司成功改制为全体职工持股的民营企业。2002年,为了企业发展,为了在激烈的市场竞争中将企业做大做强,商茂房产整合各方优势资源,成立了南京商茂投资集团有限公司,至此公司拉开了集团化发展的新步伐,这也是商茂事业的一个转折点。

同年“云中小雅”餐饮有限公司成立,独创了集餐饮、旅游双重功能的双层双向旋宫,成为南京城市的一道亮丽的风景。

2004年,商茂房地产以1602元/平方米的低价承建了景明佳园二期经济适用房,成为较早承建经济适用房的民营企业,并且在建材价格飞涨的情况下,顶住压力按期保质的完成了建设任务。

同年,集团积极响应“让民营企业走出去”的号召,通过三个月的艰苦努力,在美国休斯顿投资建设了Durastone(恒远石材)进出口加工贸易企业。

集团还涉足朝阳产业,2004年建成国内CTF国际健身中心,并且在08年3月,迈出了连锁经营模式跨越式的一步——CTF南湖店正式开馆营业。

2006年,公司又承建了南京市规模颇大的经济适用房项目——“南湾康居城”经适房项目。项目占地1800亩,建成面积将超过百万平方米,为5万名群众提供优质的住房。项目一改过去由政府统一运营的方式,由商茂房地产垫资拆迁、建设,市各级政府和主观部门予以指导和监督,开创了经济适用房建设的新模式。从2006年3月底正式进场以来,短短一年半的时间就完成了正常情况下三、四年的工程量,截止目前,A、B、C、D、E、F六个组团1万套住房已全部交付使用。2008年底,在董事长肖梅的带领下,公司又积极响应市政府加大保障性住房的建设任务,踊跃承担了南湾营1000套廉租房的建设,现在工程正在紧张施工中。

2007年至2008年期间,集团产业可谓是多点开花,07年先后成立了南京伴之岛酒店、南京缤纷年代餐饮投资管理有限公司,08年又新投资了南京商茂国际酒店、南京鸿鼎汇餐饮有限公司,迈出了进军高端酒店业和娱乐业的步伐,并与现有产业相互结合,形成链式结构,形成新的企业增长点。

如今经过17年的发展,商茂已成长为一家以房地产投资为主,多种产业形式并进的大型企业集团。经营范围涵盖了房地产开发、物业管理、外贸、建筑材料、矿山开采、酒店餐饮、健身娱乐等诸多领域。旗下已经拥有8家企业,其中海外投资企业1家。
