山西安泰集团股份有限公司（以下简称公司）是经山西省经济体制改革委员会晋经改[1993]140号文批准，以发起方式设立的，并于1993年7月29日在山西省工商行政管理局登记注册。经中国证券监督管理委员会证监发行字[2003]5号文核准，公司在2003年1月20日向境内投资者发行A股股票7,000万股，于2003年2月12日在上海证券交易所上市交易。经过派送红股、资本公积金转股以及非公开发行等方式的股本扩张，目前，公司股本总额为100,680万股。
