营口港务股份有限公司是2000年3月6日经辽宁省人民政府辽政(2000)46号文批复,由营口港务集团有限公司作为主发起人,联合大连吉粮海运有限公司、辽宁省五金矿产进出口公司、吉林省利达经济贸易中心、中粮辽宁粮油进出口公司四家发起人共同发起设立。公司于2000年3月22日在辽宁省工商行政管理局登记注册成立,注册资本为人民币1.5亿元。公司主要从事散杂货物的装卸、堆存和运输服务,业务主要涵盖金属矿石、非金属矿石、钢材、粮食、化肥、铝粉、固体化工、木片、毛豆油、淀粉等多个货种。

为进一步扩大港口规模,增强公司的核心竞争力,在对各种融资方式进行比较后,公司确定以发行可转债的方式进行二次融资。2004年3月15日,公司发行可转债的申请通过中国证监会发审委审核。2004年5月20日,公司7亿元可转债顺利发行,6月3日,公司可转债在上海证券交易所上市交易,转债代码:110317。可转债发行后,公司用募集资金收购了三期工程多用途泊位和成品油及液体化工品码头。为避免同业竞争和进一步减少关联交易,2004年6-7月,公司收购了营口中远国际集装箱码头有限责任公司50%的股权、营口港实业发展有限责任公司99.44%的股权,并整体收购了营口港务集团汽车运输公司。收购完成后,公司开始介入收益良好的集装箱业务。  

随着中国加入WTO,及振兴东北老工业基地等国策的大力推动,营口港面临历史性的发展机遇。公司的规模将进一步扩大,效益也将进一步提高。公司将利用自有资金、银行贷款和向资本市场的融资能力,不断改造现有生产泊位的吞吐能力。同时,根据公司的发展方向和经营情况,加快鲅鱼圈港区四期工程、大型矿石码头、原油码头以及物流园区等项目的建设,进一步提高公司的吞吐能力。针对激烈的竞争形势,在充分发挥港口区位、自然条件等优势的基础上,健全港口主体功能,向专业化、大型化、集装箱化的现代化港口方向发展,生产经营泊位由通用型向专业型泊位转化,提高业务竞争力;同时,本公司将进一步规范经营管理,积极开拓,不断创新,建设更有成效的团队和企业文化;积极与国内外船公司、货主、跨国集团公司开展多种形式的战略联合,努力实现港口投资经营多元化,提高公司的综合竞争力。


Yingkou Port Co., Ltd. was approved by liaozheng (2000) No. 46 document of the people's Government of Liaoning Province on March 6, 2000. Its business mainly covers metal ore, non-metal ore, steel, grain, fertilizer, aluminum powder, solid chemical industry, wood chips, crude soybean oil, starch and other goods. In order to further expand the port scale and enhance the core competitiveness of the company, after comparing various financing methods, the company decided to issue convertible bonds for secondary financing. On March 15, 2004, the company's application for issuing convertible bonds passed the examination of the development and Examination Committee of the CSRC. On May 20, 2004, RMB 700 million convertible bonds of the company were issued successfully. On June 3, 2004, the convertible bonds of the company were listed and traded on Shanghai stock exchange with the code of 110317. After the issuance of convertible bonds, the company acquired multi-purpose berths and product oil and liquid chemicals terminals of phase III project with raised funds. In order to avoid horizontal competition and further reduce connected transactions, from June to July 2004, the company acquired 50% equity of Yingkou COSCO International Container Terminal Co., Ltd., 99.44% equity of Yingkou Port Industrial Development Co., Ltd., and acquired Yingkou Port Group Automobile transportation company as a whole. After the acquisition, the company began to intervene in the container business with good earnings. With China's accession to the WTO and the vigorous promotion of national policies such as revitalizing the old industrial base in Northeast China, Yingkou port is facing historical development opportunities. The scale of the company will be further expanded and the benefits will be further improved. The company will use its own funds, bank loans and financing capacity to the capital market to continuously transform the throughput capacity of the existing production berths.
