山东新潮能源股份有限公司(以下简称“公司”)始建于1985年，1989年进行了股份制改造，1996年11月经中国证券监督管理委员会批准在上海证券交易所上市，公司股票简称“新潮能源”，股票代码为“600777”。公司注册地址为烟台市牟平区牟山路98号;截止2016年12月31日，公司注册资本40.51亿元人民币，公司总资产为60.83亿元人民币、归属于股东的净资产为54.59亿元人民币。

为深化公司产业结构调整，加快公司产业转型步伐，2014年公司新一届董事会成立后，经充分调研、反复论证，重新制定了符合公司发展的长远战略，将公司未来产业发展方向定位于海外石油及天然气的勘探、开采及销售。同时将现有资产逐步予以剥离。

2014年11月25日，为实施公司的发展战略，进军油气资源行业，公司启动了重大资产重组程序，通过发行股份的方式收购浙江犇宝实业投资有限公司(以下简称“浙江犇宝”)100%股权(收购总价款为22.1亿元人民币)，同时募集配套资金21亿元人民币。该资产收购已于2015年10月30日获中国证监会核准通过，并于2015年11月6日办理完成资产过户手续，浙江犇宝已成为公司全资子公司。本次收购完成后，公司间接获得了位于美国德克萨斯州的二叠盆地的油田资产。截至2016年5月，本次收购浙江犇宝100%股权并募集配套资金事项全部实施完毕。

本次交易成功实施后，公司将拥有浙江犇宝和鼎亮汇通位于美国德克萨斯州二叠盆地的油田资产。本次交易是公司在并购浙江犇宝(含其控制的油田资产)后的再一次并购，通过此次交易，公司控制的油田1P储量将超过2亿桶， 2P储量将达到5.66亿桶。

经过近几年的战略调整，公司产业转型已出现雏形，公司主业已从原来的房地产、建筑安装、电缆等传统产业转型至石油及天然气的勘探开采及销售。

In order to deepen the adjustment of the company's industrial structure and accelerate the pace of the company's industrial transformation, after the establishment of the new board of directors in 2014, after full investigation and repeated demonstration, the company has re formulated the long-term strategy in line with the company's development, and positioned the company's future industrial development direction in the exploration, exploitation and sales of overseas oil and gas. This transaction is the company's second acquisition after the acquisition of Zhejiang Zhenbao (including its controlled oil field assets).
