上海万业企业股份有限公司（以下简称“本公司”，原名先后为上海众城实业股份有限公司和中远发展股份有限公司）。

公司初始发行7,416万股A股，于1993年4月7日在上海证券交易所上市交易；于2002年2月增发新股8,000万股A股，其中：网上发行新股（78,598,034股）于2002年3月1日上市交易，网下机构投资者配售股份（1,401,966股）于2002年6月3日上市交易；增发后，本公司股本为447,865,971股。

2005年本公司控股股东的股东由原中国远洋运输（集团）总公司变更为Success Medal International Limited。该公司于2006年7月7日获中国证券监督管理委员会证监公司字[2006]131号批复同意豁免其因协议转让而控制25,150.371万股本公司股票（占总股本的56.16%）应履行的要约收购义务。2006年7月14日本公司更为现名，注册地址变更为上海市浦东大道720号9层，法定代表人为程光先生。

2006年7月26日本公司股权分置改革方案实施完成，非流通股股东采取“送股加折价转让资产”的组合方式向流通股股东执行对价安排。非流通股股东按每10股流通股获付1.5股的比例向全体流通股股东送股，其中，三林万业（上海）企业集团有限公司向全体流通股股东支付25,131,623股的对价股份，上海国际信托投资有限公司向全体流通股股东支付1,728,313股的对价股份；同时本公司控股股东三林万业（上海）企业集团有限公司以75%的折让价格将其持有的上海万业企业宝山新城建设开发有限公司90%股权转让给本公司。执行对价后本公司总股本不变仍为447,865,971股。

公司经营范围为实业投资、资产经营、房地产开发经营、国内贸易（除专项规定外）、钢材、木材、建筑材料、建筑五金。
