公司前身为陕西省靖西天然气输气有限责任公司，成立于1995年1月20日。2001年1月19日，靖西天然气公司经股权重组后更名为陕西省天然气有限责任公司。2005年9月，经商务部（商资批[2005]230号）批准，于当年11月1日整体变更为外资比例低于25%的中外合资股份有限公司。2008年8月13日，公司股票在深圳证券交易所正式挂牌上市，股票名称“陕天然气”，股票代码002267。

1997年7月1日由公司负责建设的靖边—西安(咸阳)天然气输气管道建成通气，拉开了中国石油在鄂尔多斯盆地天然气资源优势向经济优势转化的序幕。公司经过20年发展，目前已建成靖边至西安一、二、三线，咸阳至宝鸡、西安至渭南、宝鸡至汉中、关中环线（泾阳-乾县-眉县段）、西安至商洛、汉中至安康、义和-阎良复线、关中环线控制性工程等11条天然气长输管道，总里程接近3000公里，年输气能力达到130亿立方米，建成分输站48座、阀室90座、压缩天然气（CNG）市场组团项目7座，以及应急抢险器材中心1座、维抢修中心3座，形成了纵贯陕西南北，延伸关中东西两翼，覆盖全省11个市（区）的输气干线网络，成为国内管网里程长，输气规模大、市场覆盖广的省属天然气公司。

20多年来，公司依托陕西丰富的天然气资源，抓住机遇，加快发展，实现了安全平稳输气，受到了广大用户和市、县（区）人民政府的肯定和信任。与此同时，公司坚持“长输管网专业化、城市燃气区域化、全省产业一体化”的创新发展理念，借助公司上市的良好平台，加快对外投资合作步伐，全资设立了陕西城市燃气产业发展有限公司、安康市天然气有限公司，控股设立了汉中市天然气投资发展有限公司、商洛市天然气有限公司，参股设立了咸阳新科能源有限公司、咸阳市天然气有限公司、西安中民燃气有限公司、陕西液化天然气投资发展有限公司，实现了公司规模的不断壮大和经济效益的稳步提升，开辟了公司长输管道建设运营与城市燃气产业一体化发展的新路子。
