1999 年 4 月 17 日 经甘肃省人民政府甘证函 [1999]21 号文批准，由酒泉钢铁（集团）有限责任公司（以下简称“酒钢集团”）作为主发起人，联合兰州铁路局、甘肃省电力公司、金川有色金属公司、西北永新化工股份有限公司共五家发起人以发起方式设立本公司。主发起人酒钢集团以所属炼铁厂、炼钢厂、二轧厂、销售处等单位的生产经营性资产折价入股，其余四家以现金方式入股。
